1. Agreement & Eligibility

2. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Promptly notify us of any unauthorized use or security incident.

3. Subscriptions & Billing

Certain features are offered on a paid subscription basis through our billing module. Plan details, pricing, and billing intervals are shown at purchase. Unless canceled, subscriptions renew automatically at the end of each term. Taxes may apply. You authorize recurring charges to your payment method.

4. Acceptable Use

You agree not to misuse the Services. Prohibited conduct includes (without limitation): illegal activity, infringement of intellectual property or privacy rights, reverse engineering, attempting to bypass security, sending spam or malware, and any activity that degrades or interferes with the Services or other users.

5. Intellectual Property

The Services, including content, software, and trademarks, are owned by us or our licensors and are protected by law. These Terms do not grant you any intellectual property rights in the Services except for the limited rights necessary to use them as permitted herein.

6. Third-Party Services

The Services may integrate with third-party platforms (e.g., payments, files, telephony). We are not responsible for third-party services, their terms, or their privacy/security practices.

7. Term, Suspension & Termination

We may suspend or terminate access to the Services if you breach these Terms, fail to pay fees when due, or if we reasonably believe your use poses risk. Upon termination, your right to use the Services ceases. Sections intended to survive (e.g., IP, disclaimers, limits of liability) will survive.

8. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold us harmless from claims arising out of or related to your content, your use of the Services, or your breach of these Terms.

11. Governing Law & Disputes

These Terms are governed by the laws of our principal place of business, without regard to conflict of law principles. Any dispute shall be resolved in the courts located there, unless applicable law mandates otherwise.

12. Changes to the Terms

We may update these Terms by posting a revised version with an updated “Last Updated” date. Your continued use after changes constitutes acceptance.
